SUPERVISORY BOARD

It:

• controls, manages and regularly examines the accounts of the Group and its subsidiaries;
• approves major investments;
• decides on all strategic matters.

It is composed of eight members:

• Marcel Braud, Chairman
• Jacqueline Himsworth, Vice-Chairwoman
• Georges-Henri Bernard
• Marie-Claude Braud
• Serge Ghysdaël
• Joël Goulet
• Gordon Himsworth
• Sébastien Braud

The supervisory Board has set up two ad-hoc sub-committees: the Audit Committee and the Remuneration Committee.

Within the MANITOU Group, the supervision and management bodies are clearly defined and structured, allowing controlled corporate governance and management cohesion appropriate for the Group's business plan.

EXECUTIVE COMMITTEE

It:

• defines and implements the strategy and major guidelines set by the Supervisory Board;
• oversees and manages the Group through the Executive Committee and the Managers of the subsidiaries.

The Management Committee is shared into 3 parts :

• MANITOU INDUSTRIAL DIVISION
• ROUGH TERRAIN HANDLING EQUIPMENT DIVISION
• COMPACT EQUIPMENT AMERICA DIVISION
